PTCL Moves to Acquire Another Company, Approves Binding Offer

Pakistan Telecommunication Company Limited has moved to acquire another company after its Board of Directors approved the submission of a binding offer for a majority stake in an unnamed target company.

PTCL disclosed the development in a material information notice submitted to the Pakistan Stock Exchange. According to the notice, the board approved the binding offer on July 30, 2026, advancing a potential acquisition first disclosed by the company in July 2023.

The latest approval marks a significant step in PTCL’s expansion strategy, but the proposed transaction has not yet been completed. The company said the deal remains subject to successful negotiations, completion of due diligence, execution of definitive transaction documents, and receipt of all required corporate, regulatory, and statutory approvals.

PTCL did not reveal the identity of the target company or the value of the proposed acquisition. It also said the purchase price and other commercial terms were still being finalized and that no definitive agreement had been executed.

The company cautioned that approval of the binding offer should not be viewed as confirmation that the acquisition will proceed, as several legal, commercial, and regulatory conditions still need to be met.

PTCL said it would continue to keep the Pakistan Stock Exchange informed of any material developments related to the proposed transaction.

The planned acquisition could support PTCL’s efforts to expand its business portfolio and strengthen its market position, although its potential financial and operational impact will remain unclear until the target company and final terms are disclosed.
